CONTRACT OF AUTHORIZATION ON PRODUCTS DISTRIBUTION 甲方（廠商）： Party A  (Manufacturer ): 乙方 （經(jīng)銷商）： Party B ( Distributor ) : 甲乙雙方本著平等互利，協(xié)商一致的原則，就甲方授權(quán)乙方在指定區(qū)域經(jīng)銷甲方產(chǎn)品的有關(guān)事宜，達成如下協(xié)議：On the basis of the principal of equality and mutual benefit, through friendly consultation, whereas Party A agrees to entrust Party B to sell the products of Party A in the appointed areas, now this presents witness that is hereby agreed between the parties hereto as follows. 第一條 保證GUARANTEE合同雙方保證自己是合法存在的法人組織，具有經(jīng)營與經(jīng)銷本合同 指定產(chǎn)品的資格，并互換營業(yè)執(zhí)照，稅務(wù)登記證等有關(guān)證件的復(fù)印件。Both parties hereto shall ensure their legal positions of corporate organizations and the qualification to sell the products as specified in this Contract. Both parties shall exchange the duplicated documentations of relevant certificates such as business license and tax registration certificate. 第二條 代理銷售區(qū)域范圍Distribution Area1. The distribution area authorized by Party A to Party B is Austria;甲方授權(quán)乙方銷售甲方產(chǎn)品的行政區(qū)域為：奧地利； 2. 乙方同意作為甲方在上述指定區(qū)域之代理商，并承諾全部履行本合同項下之義務(wù)。Party B agrees to be the agent in the area mentioned above and undertake all the obligations under this Contract. 第三條 合作方式Cooperation Mode由甲方提供能源節(jié)電技術(shù)產(chǎn)品，由乙方負責(zé)在奧地利進行推廣、銷售：Party A shall provide energy resources electricity power saving / conservation technology products and Party B shall be responsible for the promotion and sales of the products: a) 甲方提供的產(chǎn)品，應(yīng)適于在奧地利銷售，并由締約雙方書面確定；The products supplied by Party A shall be suitable for the sales in Austria and shall be confirmed by both parties hereto in written form; b) 甲方對由自己提供的產(chǎn)品的使用，負責(zé)為乙方進行人員培訓(xùn)；Party A shall be responsible for the training of the personnel of Party B for the use of the products supplied by Party A; c) 甲方應(yīng)在本合同規(guī)定的范圍內(nèi)向奧地利WT或其指定的其它港口出口合作產(chǎn)品；Party A shall export the products to WT or other ports appointed by it within the scope as specified in this contract; d) 甲方應(yīng)提供經(jīng)乙方指定的優(yōu)質(zhì)可銷的能源節(jié)電技術(shù)產(chǎn)品；Party A shall supply to the marketable resources electricity power saving / conservation technology products with high quality as specified by Party B; e) ）根據(jù)本合同合作的產(chǎn)品應(yīng)采用專門的商標，由乙方在奧地利獨家經(jīng)銷；The products to be manufactured under this contract shall be specifically branded as being produced for the exclusive distribution by Party B in Austria; f) 甲方具有向乙方生產(chǎn)和提供本合同規(guī)定的產(chǎn)品獨有權(quán)，乙方具有接收由甲方根據(jù)本合同生產(chǎn)的產(chǎn)品的獨有權(quán)；甲方不得與奧地利境內(nèi)的任何其它公司、商號或個人進行與本合同規(guī)定的產(chǎn)品有關(guān)的商業(yè)活動，應(yīng)賦予乙方對奧地利市場其它產(chǎn)品的優(yōu)先取舍權(quán)；乙方不得與中國境內(nèi)的任何其它中國公司、商號或個人進行與本合同規(guī)定的產(chǎn)品有關(guān)的商業(yè)活動，應(yīng)賦予甲方其它產(chǎn)品的生產(chǎn)的優(yōu)先取舍權(quán)；Party A shall have the exclusive rights to produce and supply the products under this contract to Party B and Party B shall have the exclusive right to receive the products made by Party A under this contract. Party A shall not transact any business with any other Austrian Company, firm or individual with respect to products covered by this Contract and shall give Party B the rights of the first refusal with respect to other products contemplated for the Austrian market and Party B shall not transact business with any other Chinese company, firm or individual with respect to the products covered by this contract and shall give Party A the right of the first refusal with respect to the production of other products from China. g) 乙方以自己的名義進行本合同規(guī)定的下列事項：Party B shall use its name to do the following under this contract: h) i)在奧地利有關(guān)部門對產(chǎn)品進行注冊；Register the products with the relevant authorities in Austria; （ii）在奧地利進行產(chǎn)品銷售。Market the products in Austria 第四條 合作所涉能源節(jié)電技術(shù)產(chǎn)品包括：Products Involved in Cooperation 第五條 合同期限、首期采購任務(wù)、年度銷售任務(wù)及獎勵.Term, Purchase Task of First Phase, Annual Sales Task and Rewarding 1、 本合同有效期為_年，自 年 月 日起至 年 月 日止。This contract shall be valid and in operation for a period of five (5) years, commencing on _and terminated on _. 2、 首期采購任務(wù)：乙方須在本合同簽署之日起90天內(nèi)購買甲方價值 10 萬美元的產(chǎn)品。Purchase Task of First Phase: within ninety (90) days upon and from the date on which this contract is signed, Party B shall purchase from Party A the products of 100 thousand USD. 3、 本合同期滿，乙方可以申請續(xù)簽，但應(yīng)在期滿前30天內(nèi)書面向甲方申請。如乙方已按時完成合同約定的產(chǎn)品年度銷售任務(wù)，同等條件下將有優(yōu)先續(xù)簽合同約定的代理區(qū)域范圍和代理系列產(chǎn)品的權(quán)利。After the expiration of the validity of this contract, Party B may submit application for renewal by a 30 (thirty) days Prior notice. Where Party B complete the annual sales task as specified in this contract on schedule, Party B shall have the preemptive right to renew this contract at the same condition for the distribution of the products in the area as specified in this contract. 4、 銷售任務(wù)及獎勵見附件。Refer to appendix for the sales task and rewarding in detail. 第六條：產(chǎn)品采購及付款方式Purchase of Products and Payment1. 在簽署本合同之日，乙方需向甲方交納2萬美元成約定金；乙方在本合同簽字蓋章后90日內(nèi)完成首期采購10萬美元任務(wù)，半年內(nèi)應(yīng)累計完成 萬元美元的銷售任務(wù)；一年內(nèi)應(yīng)累計完成 萬元美元的年度銷售任務(wù)。Upon the date on which this contract is signed, Party B shall pay to Party A 20 thousand USD as contract guarantee fund; Party B shall complete the purchase task of first phase (100 thousand USD) within ninety (90) days upon and from the date on which both parties set the hands and seals on this contract. Within half year, Party B shall complete the accumulative task of _ ten thousand USD; within one year, Party B shall complete the accumulative annual task of _ ten thousand USD. 2. 乙方應(yīng)在合同生效后  天內(nèi)向乙方訂購不少于 10 萬美元的貨物。此時，本條第1款成約定金中的1萬美元轉(zhuǎn)為預(yù)付款，按第九條不足部分的預(yù)付款仍應(yīng)按第九條執(zhí)行。Within ninety (90) days upon and from the date on which this contract becomes effective, Party B shall purchase from Party A the products of at least 100 thousand USD. At that time, the contract guarantee fund of ten thousand USD shall be converted into advance payment, and the lacking part according to article nine shall be subject to article nine. 3. 剩余的1萬美元成約定金轉(zhuǎn)為第二次交易的預(yù)付款。The remaining contract guarantee fund of ten thousand USD shall be converted as the advance payment of the second transaction. 4. 訂貨時乙方應(yīng)向甲方指定辦事機構(gòu)發(fā)出書面訂貨單，訂貨單應(yīng)有乙方法定代表人簽名并加蓋公章。甲方收到訂貨單后確認該筆訂貨是否有效。如確認訂貨有效，則每份訂貨單及確認函均構(gòu)成一份獨立有效的買賣合同，本合同有關(guān)付款方式，交貨等相關(guān)條款可視為對該獨立合同的有效補充。Party B shall send the written order to Party A, and the order shall be signed by the legal representative of Party B and stamped by common seal. Upon the receipt of the order, Party A shall confirm whether the order is valid. Where the order is valid, each order and letter of confirmation shall be an independent and valid sales contract. The payment mode and delivery clauses as specified in this contract may be deemed as the valid addition of the independent contract. 5. 乙方書面訂貨單得到甲方確認后，乙方在收到甲方確認函后三天內(nèi)支付貨款總額的30給甲方作為預(yù)付款，其余70%須在甲方發(fā)貨前三天支付給甲方。付款日期均為貨款已到達甲方賬戶的日期。After the written order of Party B is confirmed by Party A, within three (3) days upon and from the receipt of the letter of confirmation from Party A, Party B shall pay to Party A 30% of the total payment for goods as advance payment; within three (3) days before the delivery of the goods by Party A, Party B shall pay the remaining 70% to Party A. The payment date shall be the date on which the payment arrives at the A/C of Party A. 6.貨幣結(jié)算單位為美元。All transactions shall be conducted by USD. 第七條 合作產(chǎn)品質(zhì)量Quality of Products（1） 按照中華人民共和國標準執(zhí)行(中華人民共和國國家標準或部頒或企業(yè)具體標準)。According to the standard of the People's Republic of China (the specific standard of enterprises or issued by the Department or the People's Republic of China) （2） 但乙方所要求生產(chǎn)的產(chǎn)品質(zhì)量標準高于(1) 標準的, 乙方必須在甲方開始生產(chǎn)之前向甲方提出書面要求.Where Party B require that the quality of the products is higher than as specified in (1), Party B shall submit to Party A the written application before the production. （3） 在本合同期內(nèi)，每一批合作產(chǎn)品的數(shù)量和計量單位、計量方法、貨差規(guī)定及計算方法另行約定。Within the period of validity of this contract, the quantity, measurement, freight shortage and computation of the products of each lot shall be specified otherwise. 第八條 交貨與運輸Delivery and Shipment1. 每份經(jīng)甲方確認后的訂貨單，甲方應(yīng)在收到乙方全部貨款后3個工作日內(nèi)發(fā)貨。For each order confirmed by Party A, Party A shall deliver the goods within three (3) working days upon and from the receipt of all the payment from Party B. 2. 發(fā)生人力不可抗拒因素（不可預(yù)測、不可避免、不可克服等），使甲方不能按時供貨或乙方不能按時交付貨款的情況除外。Except Party A fails to deliver the goods on schedule or Party B fails to make the payment for the force majeure (unpredictable, unavoidable and insurmountable). 3. 乙方可自行來甲方指定地點提貨，亦可委托甲方代辦航空、快遞等形式的托運。甲方承擔鐵路行包或汽運及保險的費用（如鐵路，公路運輸）。如乙方要求特殊運輸方式（如航空和快遞），需出具委托書，運輸和保險費用由乙方承擔。甲方發(fā)貨后，將提貨單及發(fā)貨票隨后寄給乙方。Party B may come to the site appointed by Party A for goods and also may entrust Party A to handle the air transportation and express delivery on behalf. Party A shall bear the expenses of freight charges and insurance expenses (for example, railway and road transportation). Where Party B requires special transportation mode (for example, air transportation and express delivery), Party B shall provide letter of authority and bear the freight charges and insurance expenses. Afterthe delivery of goods by Party A, Party A shall send the bill of goods and invoice to Party B. 4. 乙方提貨時必須當場開箱驗貨。如發(fā)生貨物缺失、破損等，乙方應(yīng)在提貨當天向甲方提出書面通知甲方。并由相關(guān)承運部門提供貨品缺失、破損證明，由雙方協(xié)商處理。When taking delivery of the goods, Party B shall make unpacking inspection on the site. Where any shortage, damages or loss is found, Party B shall notify Party A in written form in the same day. Relevant carrier shall issue the certificate of loss or damage, and the event shall be settled through friendly consultation by both parties hereto. 5. 交貨時間：根據(jù)合作期內(nèi)每一次合作的具體情況另行確定。Date of Delivery: specified otherwise according to the specific condition of each cooperation during cooperation period 6. 交貨地點：根據(jù)合作期內(nèi)每一次合作的具體情況另行確定。Site of Delivery: specified otherwise according to the specific condition of each cooperation during cooperation period 7. 運輸方式：根據(jù)合作期內(nèi)每一次合作的具體情況另行確定。Transportation Mode: specified otherwise according to the specific condition of each cooperation during cooperation period 8. 保 險：_(按情況約定由誰負責(zé)投保并具體規(guī)定投保金額和投保險種)。. Insurance: _ (Specified according to the specific condition) 第九條 保修Warranty乙方在銷售中因甲方產(chǎn)品存在質(zhì)量問題，均可向甲方申請保修、調(diào)換。Where any quality problem is found, Party B may apply for maintenance or replacement from Party A. 第十條產(chǎn)品退、換貨政策Replacement and Rejection of Goods1 產(chǎn)品保修（換）期限Warranty (Replacement) Period甲方對正式備案的售出產(chǎn)品（以收到經(jīng)銷商反饋的“甲方登記聯(lián)”為準），自用戶購買之日起，提供為期兩年的免費產(chǎn)品保修服務(wù)以及終身有償維修服務(wù)。For the sold products formally filed by Party A (subject to the "Party Registration" sent by (Replacement) Policy在甲方規(guī)定的產(chǎn)品保修期內(nèi)，在用戶嚴格按照產(chǎn)品使用說明書的規(guī)定對產(chǎn)品進行了正確安裝，使用和維護的前提下，如果確實由于產(chǎn)品的自身質(zhì)量問題造成產(chǎn)品的各類故障，甲方將免費為用戶提供返修或調(diào)換貨品服務(wù)。Within the warranty caused by the quality themselves, Party A shall provide free replacement or free maintenance service. 3 產(chǎn)品返修原則Reworking Policy of Products對于以下符合產(chǎn)品保修（換）原則規(guī)定的質(zhì)量問題產(chǎn)品，甲方只能提供原貨品返修服務(wù)（不可調(diào)換）：For the following products with quality problem meeting the regulations of warranty (replacement) principal, Party A shall only provide reworking service (without replacement): 1) 為用戶特殊定做的大功率(非常規(guī))型號產(chǎn)品。Large power (unconventional) products specially produced for users. 2) 用戶購機安裝三個月后，發(fā)生質(zhì)量問題，且可以進行修復(fù)的產(chǎn)品。The products with quality problem that may be recovered three months later since installation. 3) 購機安裝三個月內(nèi)發(fā)生質(zhì)量問題但可以修復(fù)的產(chǎn)品，經(jīng)與客戶溝通并征得客戶同意，允許進行產(chǎn)品返修的。The products with quality problem that may be recovered within three months since installation but with the approval of the users for reworking. 第十一條價格調(diào)整及利益保障條款Price Adjustment and Benefit Assurance為充分保障廣大經(jīng)銷商的利益，甲方在進行產(chǎn)品價格體系調(diào)整時，將嚴格遵守以下承諾：To fully ensure the benefit of the distributors, where Party A makes the price adjustment, Party A shall strictly abide by the following promise: 1、 甲方保證產(chǎn)品價格體系正式調(diào)整前七個工作日將價格調(diào)整信息通知代理商。Within seven (7) working days before the formal adjustment of the price system, Party A shall notify the distribution of the relevant adjustment price information. 2、 對于甲方進行產(chǎn)品價格體系調(diào)整前（以甲方正式執(zhí)行調(diào)整后的新價格體系日期為準）已經(jīng)發(fā)生采購的行為，甲方不負責(zé)進行差價補償。Party A shall not be responsible for the price difference compensation for the purchase activity occurred before the price adjustment. 第十二條雙方其他權(quán)利與義務(wù)Other Rights and Obligations1、 甲方的權(quán)利Rights of Party A1.1 有建議和指導(dǎo)乙方實施甲方制訂的市場營銷方案的權(quán)利；Party A shall have the right to direct Party B to execute the marketing plan designed by Party A; 1.2 有核定乙方特約經(jīng)銷區(qū)域及特約經(jīng)銷產(chǎn)品市場最低售價的權(quán)利；Party A shall have the right to examine the specific distribution area and the lowest market price of the distributed products. 1.3 有審核、規(guī)范乙方進行產(chǎn)品廣告宣傳的權(quán)利；Party A shall have the right to examine and standardize the advertisement activity of Party B; 2、 甲方的義務(wù)Obligations of Party A2.1 在乙方完成首期采購任務(wù)后,向乙方出據(jù)代理商證書及證明，維護乙方作為代理商的正當合法權(quán)益。After Party B completes the purchase task of the first phase, Party A shall issue the agent license and certificate to maintain the legal right of Party B as distributor. 2.2 向乙方提供產(chǎn)品銷售時所需的營銷、技術(shù)和廣告宣傳資料及相關(guān)的產(chǎn)品認證證書。Party A shall provide to Party B the marketing, technology and advertising data and relevant production certificate required for the sales of the products. 2.3 乙方在本合同第二條約定區(qū)域范圍內(nèi)進行其代理經(jīng)銷產(chǎn)品的市場開拓與銷售工作時，為乙方提供必要的市場指導(dǎo)、技術(shù)支持、培訓(xùn)支持等相關(guān)配套服務(wù)。When Party B conducts the marketing exploitation and sales of the products in the area as specified in the article two of this contract, Party A shall provide necessary relevant supporting services such as market guidance, technical support and training support for Party B. 2.4 向乙方按時、按質(zhì)、按量提供包裝完整的合格產(chǎn)品；Party A shall supply the well-packed qualified products to Party B on schedule by quality and quantity. 2.5 協(xié)助乙方做好貨物托運及調(diào)換工作；Party A shall render assistance to Party B to make goods consignment and replacement. 2.6 采取有效措施調(diào)節(jié)和規(guī)范市場秩序；Party A shall take effective measure to adjust and standardize the market order. 2.7 嚴守乙方的商業(yè)機密。Party A shall not disclose the commercial secrete to any other third party. 3、 乙方的權(quán)利Rights of Party B3.1 享有本合同第二條約定的特約經(jīng)銷產(chǎn)品在產(chǎn)品特約區(qū)域的經(jīng)銷權(quán)；Party B shall have the right to enjoy the distribution right of the specified products in the area as specified in Article two of this contract. 3.2 享有按OA電能科技2004年度市場營銷方案享受一切獎勵條款規(guī)定的權(quán)利；Party B shall have the right to enjoy all the rights as specified in the rewarding clause according to the 2004 Marketing Plan of GUANGZHOU OA TECHNOLOGY COMPANY LIMITED. 4、 乙方的義務(wù)Obligations of Party B      4.1 應(yīng)向甲方提供營業(yè)執(zhí)照等合法有效的經(jīng)營證件，并嚴格遵守國家有關(guān)法律法規(guī)及行業(yè)規(guī)范，進行守法經(jīng)營；Party B shall provide the legal and valid business license to Party A and strictly abide by the industry standard and relevant laws and regulations of the country, and operate under the laws. 4.2 自覺維護甲方及其產(chǎn)品的形象和聲譽，在甲方指導(dǎo)下處理好特約經(jīng)銷區(qū)域內(nèi)產(chǎn)品終端用戶的投訴與相關(guān)服務(wù)請求，并做好有關(guān)部門監(jiān)督檢查的配合工作；Party B shall maintain the image and reputation of Party A and its products. With the guidance of Party A, Party B shall make good settlement of the complaint and relevant service application of the final users in the distribution area, and render good coordination to relevant department for supervision and inspection. 4.3 嚴格遵守甲方OA電能科技2004年度市場營銷方案中關(guān)于市場營銷秩序維護及經(jīng)銷商行為約束方面的相關(guān)規(guī)定；Party B shall strictly abide by the relevant regulations with respect to the market order maintenance and binding on the activity of the distributors as specified in the 2004 Marketing Plan of GUANGZHOU OA TECHNOLOGY COMPANY LIMITED. 4.4 不得擅自生產(chǎn)、偽造甲方之產(chǎn)品，并要協(xié)助甲方做好保護甲方專利、商標等知識產(chǎn)權(quán)的工作；嚴守甲方的商業(yè)秘密；Party B shall not produce, counterfeit the products of Party A; Party B shall render assistance to protect the intellectual property such as patent and trademark of Party A. Party B shall not disclose the commercial secrete to any other third party. 4.5 乙方必須安裝專用的通訊設(shè)備，保持與甲方的持續(xù)溝通，及時反饋各種市場營銷信息；Party B shall install special communication equipment to maintain a good contact with Party A and feed back various marketing information on time. 4.6 乙方印制各種針對甲方的宣傳資料前必須呈甲方審核，并經(jīng)甲方書面許可后方能發(fā)布；Party B shall submit all the advertising data involving Party A to Party A for examination and approval; and the advertising data shall only be issued with the approval of Party A. 4.7 遵守甲方頒布的年度營銷方案、客戶服務(wù)方案，并積極支持配合甲方組織的各項活動；Party B shall abide by the annual marketing plan, client service plan and render active assistance to Party A to organize various activities. 4.8 不得以甲方名義與第三人簽訂經(jīng)濟合同或從事其他民事行為，甲方亦無須為乙方與任何第三人發(fā)生的經(jīng)濟或民事糾紛承擔法律責(zé)任。Party B shall not transact business or other civil deeds with any other third person or party in the name of Party A. Party A shall not bear any legal responsibility for the economic or civil dispute between Party B and any other third person or party. 第十三條合同修改、終止Modification and Termination of Contract1. 本合同的修改必須經(jīng)雙方協(xié)商一致，并形成書面材料（合同變更簡約），經(jīng)雙方簽字蓋章后生效；The modification of this contract shall be agreed by both parties to this contract. The modification shall be formed into written form (Contract Modification Agreement) and signed and approved by both parties. 2. 發(fā)生下列任何一種情況時，宣稱此種情況存在的一方（申訴方）應(yīng)書面通知另一方。如果收到上述通知的一方未在收到通知后30天內(nèi)（本合同特別約定除外）糾正、補救或消除這種情況，則申訴方有權(quán)書面通知另一方解除本合同并立即生效。在上述30天期限內(nèi)，雙方仍應(yīng)繼續(xù)履行其在合同項下的義務(wù)。Where the following events occur, the parties concerned shall notify the other party of the relevant matter. Where, within thirty (30) days (except the contract specified in particular) after the receipt of the notice, the other party fails to measures to correct, remedy or eliminate these events, the parties concerned may terminate this contract with written notice. Within the thirty (30) days mentioned above, both parties shall continuously execute the obligations under this contract. 2.1 一方嚴重違反合同及合同相關(guān)附件之約定；Either Party to this contract violates the regulations as specified in the contract and relevant appendixes. 2.2 一方破產(chǎn)或進入清算程序（無論是強制性或自愿性）；Either Party hereto is in bankruptcy or in the liquidation procedure (mandatory or voluntariness). 2.3 出現(xiàn)不可抗拒力的情況，以至任何一方無法履行其在合同項下的主要義務(wù)；Either Party hereto can not implement the main obligations under this contract for force majeure; 2.4 一方在公眾場所、傳媒等攻擊另一方的形象和聲譽，或自身公共形象嚴重敗壞。Either Party attacks the image or reputation of the other party in public and through media or its own public image is damaged severely. 3. 經(jīng)雙方書面同意，可提前終止合同。This contract may be terminated with the written consents of both parties. 4. 乙方在合同規(guī)定時間內(nèi),未完成首期采購任務(wù)，本合同即無效Party B fails to complete Purchase Task of First Phase, the contract shall be deemed as invalid. 第十四條 保密條款Confidentiality締約雙方在合同有效期間對其從另一方獲得的、與另一方活動有關(guān)的所有被認為是機密的信息進行保密，不向任何人、商號和公司透露，（正確行使本合同規(guī)定的責(zé)任時除外）。The parties hereto undertake one to the other to keep confidential at all times during the continuance of this agreement all information acquired by them in connection with the activities of the other party and which may reasonably be regarded as private, secret, confidential in nature and (except in proper performance to their obligation herein under) not to divulge the same to any person, firm or company 第十五條違約責(zé)任Liabilities for Breach甲、乙雙方均應(yīng)按本合同的約定履行義務(wù)，任何一方違反本合同約定，則守約方有權(quán)要求違約方支付人民幣 萬元的違約金給守約方，并賠償守約方因此造成的全部經(jīng)濟損失。Both Parties shall implement the obligations as specified in this contract.
